Note: Government fees are charged at actuals and itemised in writing before you pay. The SPICe+ filing fee is nil up to ₹15 lakh authorised capital, so your main government costs are the name reservation fee and your state’s stamp duty. Not sure whether OPC or Pvt Ltd fits? What is a One Person Company?
A One Person Company (OPC) is a private company with a single member, defined in Section 2(62) of the Companies Act, 2013. The member can also be the sole director. It gives one founder limited liability and a separate legal entity, with lighter compliance than a Private Limited Company. While it remains an OPC, it cannot issue shares to a second person.
Need a co-founder or equity investors? Compare a Private Limited Company or an LLP.
Who can register an OPC
- One member: a natural person who is an Indian citizen, resident in India or an NRI
- One nominee: also an Indian citizen, who consents in Form INC-3
- One to 15 directors; the member can be the only director
- No minimum paid-up capital
- One OPC per person; minors cannot be members or nominees
- Cannot carry on non-banking financial investment activity or become a Section 8 company
Ideal For
Whether you’re launching your first venture or formalising work you already do alone, an OPC gives you a registered company without a co-founder or second shareholder.
Solo Entrepreneurs
Starting alone and want limited liability from day one? An OPC needs one member and one nominee — no co-founder or second shareholder.
Freelancers Going Corporate
When clients insist on contracting with a company, an OPC gives you a CIN, a company PAN and a current account. Compare the tax position first: presumptive taxation under Section 44ADA can make staying a proprietor cheaper at lower incomes.
Creative Professionals
Designers, photographers, content creators and studio owners can sign contracts, own equipment and bill clients in the company’s name, keeping business liabilities apart from personal assets.
Online Sellers & E-commerce Founders
Marketplaces and payment gateways onboard registered companies readily. An OPC gives you a company identity for seller accounts, with GST registration included in the Launch and Growth plans.
Solo Tech Founders
Building a SaaS product or app alone? An OPC lets you sign customer contracts in a company name now. It can’t add a second shareholder, so plan to convert to a Private Limited Company before bringing in a co-founder or investors.
Consultants & Coaches
Consultants, coaches and trainers who work independently can contract with corporate clients as a company and keep business finances separate from personal ones.
Why Choose an OPC?
Limited Liability
Your liability is limited to your share capital. Personal guarantees you sign, for example on a loan, still bind you personally.
Continuity Through Your Nominee
If you die or become unable to contract, your nominee becomes the member and the company carries on.
Separate Legal Entity
The company owns assets, signs contracts and sues or is sued in its own name.
Lighter Company Compliance
No AGM, no cash-flow statement, and no board meetings if you are the sole director. A statutory audit is still required every year.
Full Ownership, Room to Grow
You keep 100% ownership and can convert to a Private Limited Company whenever you need a second shareholder.

Our professional fee is ₹7,999 (Starter), ₹13,999 (Launch) or ₹19,999 (Growth), plus 18% GST. Government fees are extra at actuals: the SPICe+ filing fee is nil up to ₹15 lakh authorised capital, so the main costs are the name reservation fee and your state’s stamp duty. You get the full amount in writing before you pay.
Any natural person who is an Indian citizen, whether resident in India or an NRI. You can be a member of only one OPC, and minors aren’t eligible. Your nominee must also be an Indian citizen. Foreign nationals and companies can’t form an OPC; a Private Limited Company suits them instead.
Your PAN, Aadhaar, a photograph and recent address proof; your nominee’s PAN, Aadhaar and signed INC-3 consent; and registered-office proof: a utility bill under two months old, plus a rent agreement or ownership document and the owner’s NOC where applicable. NRIs also need a passport. We prepare every MCA form.
Typically 12–15 working days from the time your documents are complete. Name approval, DSC verification and MCA processing, including any query from the Registrar, can move this either way, so we don’t promise a fixed date.
Yes. Every OPC must name a nominee in its MOA, who gives written consent in Form INC-3. The nominee becomes the member if you die or become unable to contract, and has no ownership rights before that. Your nominee also needs a Digital Signature Certificate (DSC) for the incorporation filing, which we arrange. You can change your nominee later.
Yes, whenever you choose. Since 1 April 2021 there is no turnover or capital limit that forces conversion and no two-year wait. You’d convert when bringing in a co-founder or equity investors, because an OPC can’t have a second shareholder. Conversion is a separate filing, which we can handle for you.
